Services Terms of Service

Terms governing all LPagery professional services

This document contains the Terms of Service for all professional services provided by LPagery Services – Jonas Lindemann. Please review the applicable section for the service you are purchasing.

Lead Engine Terms of Service

The following terms apply to the Lead Engine pilot and to the ongoing Lead Engine service.

These terms govern your purchase and use of the Lead Engine service from LPagery Services – Jonas Lindemann, Heinrich-Böll-Straße 40, 21335 Lüneburg, Germany ("we", "us"). By completing checkout, you ("you") agree to them.

1. What the pilot is

A one-time setup of an advertising and lead-generation funnel that runs in your own advertising account, under your own brand, for a 30-day test period. The setup fee is the amount shown at checkout in your local currency.

2. What the setup fee includes

  • A hand-built landing page in your branding. You choose whether we host it for you on your own web address, or we hand you the page to build and host on your own website.
  • One custom UGC-style video ad and accompanying ad creatives.
  • Campaign setup in your Meta advertising account.
  • Connection of incoming leads to our processing system and to your CRM or email.
  • Automated processing of each valid lead, including a redesign concept, SEO audit, map-grid ranking, competitor comparison and an outreach message, up to 40 processed leads during the pilot.

3. What the setup fee does not include

  • Advertising spend. You pay Meta directly from your own ad account. A minimum daily ad spend, shown at checkout for your currency, is required across the 30-day pilot (see the guarantee).
  • Any guarantee that leads become paying customers. Closing leads is your responsibility.
  • Building or hosting the final client websites you sell. Redesigns are delivered as concepts, and as an HTML file on a closed deal. Full build-out is available separately.
  • Processing of leads beyond 40 during the pilot.

4. Your responsibilities

  • Provide partner access to a Meta ad account in good standing, or complete the ad setup yourself using the steps we provide.
  • If we host your page, add the DNS record we supply. If you host it yourself, publish and maintain it on your own site.
  • Fund and maintain the required ad spend for the full pilot period.
  • Ensure your use of the leads and outreach complies with applicable laws.

5. The 30-Lead Guarantee

If you do not receive at least 30 valid leads during the 30-day pilot, we refund your setup fee in full.

A valid lead is a unique business that submits the campaign form with a working website and usable contact details.

Excluded and not counted: duplicate submissions, fake or test entries, and submissions without a working website or usable contact details. We do not charge you for processing excluded leads.

The guarantee applies only if the campaign and landing page we provide are run as delivered and unmodified, your ad account stays active and in good standing for the full 30 days, and you maintain at least the minimum daily ad spend shown at checkout across the pilot. If you host the page yourself, the guarantee applies only where the page is published exactly as delivered and left unmodified.

We do not guarantee that any lead will answer, respond, or become a customer, as that is outside our control.

6. Refund process

If the conditions in Section 5 are met and fewer than 30 valid leads were delivered, the setup fee is refunded automatically within 7 business days of the pilot ending. No form or request is required. Advertising spend is not refundable, as it is paid by you to Meta.

7. After the pilot: ongoing service

There is no automatic renewal. The pilot is a one-time engagement, and continuing is your active choice.

If you continue, the ongoing service is the monthly fee plus the per-lead fee shown at checkout in your local currency.

The monthly base, billed monthly in advance, covers:

  • Keeping your funnel live: the lead-processing automation and your CRM or email integration running, and hosting of your landing page if we host it for you.
  • Ongoing tuning of the redesigns, analysis and enrichment to match your style and your sales process.
  • Basic ad support: if your ad fatigues, we produce a fresh creative for you. This does not include active Meta campaign management or optimization, which remains with you.

The per-lead fee, billed monthly in arrears, covers:

  • Full processing of every lead: redesign concept, SEO audit, map-grid ranking, competitor comparison and outreach message.
  • No cap and no monthly minimum. You pay only for leads actually processed.

Advertising spend remains yours, paid directly to Meta, and is separate from the above.

8. Ownership

Your ad creatives and custom video are yours to keep. Our underlying systems, templates and processing tools remain ours. If we host your landing page, it stays hosted by us while you use the service. If you host it yourself, it is on your own site from the start.

9. Cancellation

You may cancel the ongoing service at any time. Service continues until the end of the current paid month, and partial months are not refunded. On cancellation you keep your creatives, your video, and all leads already delivered. If we were hosting your landing page, hosting ends and we provide the page structure and copy so you can host your own version. If you were already self-hosting, nothing changes on your end.

10. Limitation of liability

The service is provided on a commercially reasonable basis. To the extent permitted by law, our total liability arising from the service is limited to the fees you paid in the month the claim arose. Nothing in these terms excludes rights that cannot legally be excluded under applicable consumer law.

11. Governing law

These terms are governed by the laws of Germany. The courts of Germany have exclusive jurisdiction.

Part A: Homepage Design Terms of Service

The following terms apply to Homepage Design services.

These Homepage Design Terms of Service (the "Terms") govern the purchase and delivery of the Homepage Design service provided by LPagery Services – Jonas Lindemann.

By purchasing this service, the Client agrees to be legally bound by these Terms.

1. Parties

Client

The business entity purchasing the Homepage Design service via Stripe checkout.

2. Business customers only

The Client confirms that it is purchasing the service strictly for business purposes and not as a consumer. Consumer protection laws do not apply to this service.

3. Scope of service

The Service Provider provides a design-only homepage redesign service.

This service includes no website development, hosting, deployment, or technical implementation.

3.1 Included services

The following services are included:

  • Redesign of one homepage only
  • Desktop, tablet, and mobile homepage design
  • Minor copy refinements based on existing content
  • Optional creation of a new color palette and font selection, if selected by the Client
  • One primary design direction
  • Interactive preview website or prototype for review
  • Delivery of the final design as a Figma file

3.2 Branding scope

The Client may choose between:

  • Using existing brand colors and fonts, or
  • Creating a new color palette and font combination

The following are not included:

  • Logo design or logo changes
  • Brand strategy
  • Brand guidelines
  • Brand identity systems

4. Excluded services

Unless expressly agreed in writing, the following are excluded:

  • HTML, CSS, JavaScript, or other development
  • Hosting or server services
  • Deployment or publishing to a live domain
  • CMS setup
  • Accessibility compliance
  • SEO guarantees or ranking promises
  • Conversion guarantees
  • Ongoing maintenance or support

Any further services may be quoted separately under a separate agreement.

5. Timeline and project start

The Service Provider will deliver the homepage design within 48 Business Hours.

The timeline begins only after:

  • Full payment has been received, and
  • The Client has submitted all required information via the provided Google Form questionnaire.

Business Hours are Monday to Friday, excluding public holidays in Germany.

Delays caused by incomplete or missing Client information extend the timeline accordingly.

6. Revisions and feedback

6.1 Included revisions

This service includes one revision round.

A revision round consists of:

  • One consolidated feedback email from the Client, and
  • One implementation of that feedback by the Service Provider.

Fragmented feedback sent in multiple messages may be treated as multiple revision rounds.

6.2 Feedback method

All feedback must be submitted by email only to projects@lpagery.io.

There is no fixed feedback deadline. Extended inactivity may delay project completion.

7. Preview, approval, and refund policy

7.1 Preview stage

Before delivering the full Figma file and interactive preview access, the Service Provider will provide a visual preview or screenshots of the homepage design.

7.2 Refund eligibility

If the Client confirms that it does not like the design, the payment is fully refundable.

If the Client confirms in writing that it likes the design, the payment becomes non-refundable.

Written confirmation includes email replies such as "Approved", "Looks good", or similar approval statements.

7.3 Final delivery

After approval, the Service Provider will deliver:

  • The complete Figma design file, and
  • Access to the interactive preview or deployed preview website.

8. Pricing and payment

The price for this service is a fixed fee as displayed at checkout.

100 percent payment is due upfront.

No work will begin until payment is received in full.

9. Intellectual property rights

9.1 Ownership

Upon final delivery, the Client receives full ownership of the homepage design.

9.2 Retained rights

The Service Provider retains the right to reuse:

  • Generic layouts
  • Design patterns
  • Components
  • Structural concepts

Reused elements will not include the Client's branding, content, or confidential information.

10. Credit toward full website project

If the Client later engages the Service Provider for a full website redesign and development project, 100 percent of the homepage design fee will be credited toward that project.

This credit applies only to future projects with the Service Provider and has no cash value.

11. Client responsibilities

The Client agrees to:

  • Provide accurate and lawful content
  • Complete the questionnaire truthfully and promptly
  • Ensure that all provided materials do not infringe third-party rights

12. Warranty disclaimer

The service is provided on an "as is" basis.

The Service Provider does not guarantee:

  • Conversion results
  • SEO performance
  • Business outcomes
  • Accessibility compliance

13. Limitation of liability

To the maximum extent permitted by law:

  • The Service Provider is not liable for indirect or consequential damages
  • Total liability is limited to the total amount paid for this service

Nothing limits liability for fraud or intentional misconduct.

14. Termination

Either Party may terminate the service in writing prior to final delivery.

Refunds, if applicable, are governed by Section 7 of these Terms.

15. Governing law and jurisdiction

These Terms are governed by the laws of Germany.

The courts of Germany have exclusive jurisdiction.

16. Entire agreement

These Terms constitute the entire agreement between the Parties regarding the Homepage Design service.

If any provision is unenforceable, the remaining provisions remain in effect.

Part B: Lead Generation Terms

The following terms apply to Lead Generation services.

These Lead Terms govern the purchase and delivery of website redesign leads provided by LPagery ("we", "us", "our") to agencies and freelancers ("you", "buyer").

By completing payment for any lead service, you agree to these Lead Terms.

1. What a "Lead" Is

A lead is defined as:

  • A real business with an active website
  • That has submitted a request for a website or homepage redesign
  • That has provided valid contact information
  • That has described at least one issue with their current website (e.g. low inquiries, outdated design, poor performance)

A lead is not defined by whether a sale is closed, a call is booked, or a project is signed.

2. How Leads Are Generated

Leads are generated via paid marketing campaigns operated by us.

These campaigns offer businesses a free homepage redesign concept as an incentive to request help with their website.

This process is intentional. By requesting a redesign, the prospect is already problem-aware and bottom-of-funnel.

Important clarifications:

  • Leads are generated after purchase and onboarding
  • We do not sell pre-made or scraped lead lists
  • All leads are newly generated for your setup

3. Lead Exclusivity

Unless otherwise stated:

  • Leads are delivered exclusively to one buyer
  • If a shared lead option is selected, the maximum number of buyers will be clearly disclosed before purchase

Exclusivity applies at the time of delivery.

4. Lead Delivery

  • Leads are delivered on a rolling basis as they are generated
  • Delivery method may include a shared document, CRM access, or email, as communicated during onboarding
  • Each lead includes relevant submission details and a timestamp

Lead freshness is determined by delivery time, not by the time of initial ad interaction.

5. Mockups and Design Assets (If Included)

If your setup includes homepage mockups:

  • Mockups are conceptual sales assets, not final designs
  • They are intended to support the initial sales conversation
  • No revisions are included unless explicitly agreed
  • Final design responsibility remains with the buyer

We make no guarantees regarding stylistic preference, brand alignment, or conversion performance.

6. Replacement Policy for Invalid Leads

A lead may be considered invalid only if it meets one of the following criteria:

  • Fake or unreachable contact details
  • Not a real business
  • Did not request a website redesign

Invalid leads must be reported within 48 hours of delivery.

If approved, invalid leads will be replaced with a new lead, not refunded.

7. Inability to Source Leads (Important)

In rare cases, it may not be possible to generate leads that meet the agreed setup (e.g. extremely narrow targeting, market constraints, or insufficient volume).

If we are unable to deliver the agreed number of leads within a reasonable timeframe:

  • We will notify you
  • We may propose a setup adjustment (e.g. broader targeting)
  • If no suitable adjustment is agreed and no leads have been delivered, you will receive a full refund for the undelivered portion

If some leads have already been delivered:

  • You will only be refunded for the undelivered leads
  • Delivered leads remain billable

This clause applies only when lead delivery is not possible, not when leads are delivered but do not convert.

8. No Guarantee of Results

We do not guarantee:

  • Sales
  • Booked calls
  • Revenue
  • Response rates

You are purchasing lead generation services, not business outcomes.

9. Payments and Refunds

  • All services are prepaid
  • Payments are non-refundable once lead generation has started, except as outlined in Section 7
  • Refunds are issued only when lead delivery is not possible

Replacement of invalid leads is the primary remedy.

10. Limitation of Liability

Our liability is limited to the amount paid for the affected lead service.

We are not responsible for:

  • Lost revenue
  • Missed opportunities
  • Indirect or consequential damages

11. Acceptance of Terms

By completing payment, you confirm that you:

  • Have read and understood these Lead Terms
  • Agree to them in full

These Lead Terms apply to all lead purchases unless otherwise agreed in writing.
